Protein Sciences Corporation Non-commercial License Agreement for expresSF+® Insect Cells  Please read the following agreement before purchasing expresSF+® Insect Cells NON-COMMERCIAL LICENSE This is a legal agreement between you, the user, and Protein Sciences Corporation ("PSC"). By opening the container(s) containing expresSF+® Insect Cells ("Cells"), you agree to be bound by the terms of this agreement. If you do not agree to these terms, promptly return all containers (unopened and handled in accordance with the instructions provided) for a full refund. PATENT MARKING AND TRANSFER OF CELLS United States and foreign patents, patent applications, patent laws and international treaties protect the cells including U.S. Patent No. 6,103,526. Cells may not be transferred to any other person, research laboratory, or entity except to a recipient who agrees to be bound by the terms hereof and you retain no Cells. INTENDED USE OF CELLS Under the license herewith, the Cells delivered are only for research use within one year of the date of delivery and not thereafter and are to be used only by qualified individuals with research experience. Cells or any products made in Cells are not to be administered to humans or used for any pharmaceutical or diagnostic purposes. The purchaser is responsible for compliance with the U.S. Food and Drug Administration regulations and comparable regulatory agencies in other countries, all state laws, and any other Federal or local laws governing the use of these products. PSC recommends that the buyer and others using Cells adhere to the N.I.H. guidelines published in the Federal Register, Volume 41, No. 131, July 7, 1976 and any amendment thereto. PSC disclaims any and all responsibility for any injury or damage that may be caused by the failure of the buyer to follow the stated guidelines. WARRANTY AND RETURNS PSC warrants that Cells will perform according to the specifications stated on the certificate of analysis when handled in accordance with the instructions provided. This warranty limits PSC's liability only to the cost of the cells. No warranty is granted for Cells beyond their listed expiration date. No warranty is applicable unless Cells are stored in accordance with instructions. PSC reserves the right to select the methods used to analyze Cells unless PSC agrees to a specified method in writing prior to the customer placing the order. If spoilage or thawing has occurred in transit, please call our Customer Service Department. PSC assumes no responsibility or liability for any special or consequential loss or damage occurring from any delay that is unavoidable or beyond our reasonable control. Please call PSC Customer Service at 1-800-488-7099x1 within 3 business days of receipt of damaged or missing Cells. RETURN AUTHORIZATION Authorization for all product returns must be approved prior to return of goods. Contact our Customer Service Department at 1-800-488-7099x1 for a return authorization number. A restocking charge of 25% or $25.00 (whichever is greater) will be charged on returns, which are through no error, or fault of PSC and shipping charges will not be credited. Products may not be returned for credit after 20 days of receipt of product. When applicable, PSC shall issue product credits for 100% of the product value and shipping charges. These product credits may be applied to the product of your choice on future orders or to an outstanding accounts receivable balance. No product credit shall be available for use if a past due balance is outstanding on the account. No cash refunds will be issued. |
